Statements made prior to or during contractual negotiations are representations. A misrepresentation is an untrue statement of fact that induces a party to enter a contract, but that is not itself part of the contract.
Because a misrepresentation is an untrue statement of fact, there must therefore be a statement of some kind, although a representation need not always be verbal.
